An SEO agency contract should define the work you receive, who can change your website, what you own and how you leave. Enterprise buyers also need approval rules, security requirements and reporting that connects the work to qualified enquiries or revenue, rather than visibility alone. Put it in the signed documents. A proposal alone leaves too much open when procurement, marketing and engineering each expect something different.

I'm Brenden House, founder of Searchmaxxed. We do SEO and AI SEO, including technical SEO, content, GEO and AEO, for companies that want search to bring them more customers. This is a commercial checklist for marketing, procurement and security teams, not legal advice. Have your lawyer review the final terms.

## In summary

- Define delivery and acceptance together. A draft, an approved page and a live page represent different stages.
- Keep control of the website, repository, content and first-party data. Specify any licensed exceptions before signing.
- Separate service deadlines from business targets. An incident response, a restored website and a qualified enquiry need different measures.
- Agree the exit while everyone gets along. Include account access, editable files, tracking history and the work still in progress.
- Attach security and approval requirements to the agreement. A completed questionnaire should lead to commitments your teams can verify.

## What should an SEO agency contract include?

An SEO agency contract should cover commercial terms, delivery, ownership, access, reporting and exit. Enterprise agreements also need security obligations and a clear order of precedence, so conflicting wording in a proposal cannot quietly override the agreed scope.

Start with the paperwork. A master services agreement, or MSA, sets the general relationship terms; a statement of work, or SOW, defines the particular engagement.

A service-level agreement, or SLA, sets measurable service standards. You can place these in separate schedules or one agreement, provided everyone knows which wording controls.

| Contract item | What your team should settle before signing |
| --- | --- |
| Parties and authority | Correct legal entities, authorised signatories and the procurement owner |
| Scope | Websites, markets, languages, page types and included services |
| Deliverables | Quantity or capacity, format, acceptance tests and delivery dates |
| Responsibilities | Who supplies evidence, approves content, changes code and releases work |
| Payment | Billing dates, currency, tax treatment, purchase orders and approved expenses |
| Changes | Who can approve extra work, revised fees and revised deadlines |
| Ownership | Site, code, content, data and any third-party licence restrictions |
| Security | Access, subcontractors, data handling and incident notification |
| Measurement | KPI definitions, baselines, source systems and reporting dates |
| Term and exit | Renewal, notice, termination, handover and ongoing hosting arrangements |
| Legal provisions | Confidentiality, liability, indemnities, dispute process and governing law |

Check the attachments too. If the proposal promises implementation but the SOW buys recommendations, resolve that mismatch before anyone signs.

Still choosing a provider? Our [SEO RFP template](https://www.searchmaxxed.com/research/seo-rfp-template) covers that stage. Here, the job is turning the selected offer into terms your organisation can operate.

## How specific should the SEO scope of work be?

The scope should name the work, its boundaries and what counts as completion, including the evidence your team needs before accepting each deliverable. Include implementation responsibility, because a technical audit and a repaired website are different purchases.

“Technical SEO” needs more detail. Specify whether the agency will diagnose crawl faults, change canonical tags, fix redirects and test the live result, or hand instructions to engineering.

Likewise, content scope should distinguish new pages from rewrites. Name the page families, subject-matter input, revision process and publishing responsibility, so your product team can see where its own effort enters the schedule.

Searchmaxxed's managed plans include implementation across pages, technical work, schema and internal links. Your team gets implemented changes rather than a backlog of recommendations.

### What counts as a page release?

Searchmaxxed's Growth System includes **30 page releases a month**, defined as approved new pages or substantial rebuilds. Technical, schema, internal-link and measurement work does not reduce that commitment.

The distinction matters in procurement: changing a title and rebuilding an integration page should not automatically count as equivalent work.

Apply the definition to your own SOW. Specify how approval delays affect the schedule and whether unfinished work carries forward, changes priority or requires a revised plan.

### A worked example: a B2B SaaS integration page

Consider a hypothetical venture-backed SaaS company expanding its integration pages because prospective customers want to know whether the product works with their existing software. Its product team controls technical claims, while marketing owns the copy and engineering owns production access.

| Scope item | Acceptance evidence to agree |
| --- | --- |
| Integration page copy | Product owner approves supported features, prerequisites and limitations |
| Page implementation | Working page matches the approved copy and design |
| Search setup | Title, canonical tag, crawl settings and internal links pass agreed checks |
| Structured data | Markup describes the content visitors can see |
| Enquiry path | Demo form submits successfully and reaches the agreed destination |
| Release | Named approver authorises publication; release owner checks the live page |
| Measurement | Report separates integration-page enquiries from unrelated traffic |

This example needs agreement-specific wording. It makes the purchase concrete without pretending that publishing a page completes the commercial job.

## Who should own the website, content and SEO data?

Your contract should give your business the ownership and continuing rights it needs to operate without the agency. Include practical access alongside intellectual-property wording.

Searchmaxxed's managed plans include client ownership of the site, repository, content and data from day one. Now document the actual assets.

List the exceptions explicitly. Stock photography, fonts, plugins, agency tools and third-party datasets may carry separate licences, so confirm what continues after the engagement ends.

| Asset | Ownership or continuity question |
| --- | --- |
| Domain and DNS | Who controls the registrar account and recovery details? |
| Website and repository | Can your team obtain the code, build instructions and release history? |
| Content and design | Which editable files and source assets transfer? |
| Search Console and GA4 | Does your organisation retain administrative control? |
| Reporting | Can you export history, definitions and underlying client data? |
| Hosting and integrations | Which services continue, and who pays their bills after exit? |
| Licensed components | What can you keep using, and what needs a replacement licence? |

Run a practical test. Ask your technical lead to explain how another supplier could deploy the site using the material your agreement requires the agency to provide.

A folder of files helps. A working site your team can maintain helps more.

## What access and approval gates should you require?

Require named users, task-specific permissions and written authority for public changes. Keep the right to analyse data separate from the right to publish content or alter infrastructure.

Least privilege means access limited to the task. An analyst reading Search Console usually has a different job from an engineer changing the website.

Specify who approves each category of change:

- Marketing approves positioning and page copy.
- Product or subject specialists approve technical claims.
- Legal or compliance approves regulated claims where needed.
- Engineering approves changes affecting site behaviour or infrastructure.
- A named release owner publishes the approved version and checks it live.

Keep the approval record. It should identify the exact page or change, the decision and any conditions attached to that decision.

Searchmaxxed approves changes before they go live, then measures their effect against the search and enquiry evidence, rather than treating publication as the finish. For enterprise work, agree how your own approval requirements fit that delivery process before you commit to a release schedule.

Silence needs an agreed consequence. Escalation, rescheduling and revised scope belong in the contract, rather than an argument about an unanswered email after the deadline passes.

The practical setup belongs in [onboarding an SEO agency](https://www.searchmaxxed.com/research/onboarding-an-seo-agency). Set the authority before granting access.

## What should an SEO agency SLA measure?

An SEO agency SLA should measure service delivery: response, incident handling, reporting and agreed work deadlines. Keep business targets alongside service standards.

Separate the clocks. Acknowledging a broken enquiry form does not restore it, and restoring it does not explain why it broke.

| Service event | What to define in the SLA |
| --- | --- |
| Critical website fault | Severity criteria, contact route and acknowledgement deadline |
| Restoration | Workaround or rollback responsibility and restoration target |
| Resolution | Permanent fix, testing and cause review |
| Routine request | Response deadline, prioritisation and delivery estimate |
| Scheduled work | Due date, acceptance criteria and required client inputs |
| Reporting | Delivery date, source data, review meeting and correction process |
| Repeated missed standards | Escalation, corrective plan and the agreed contractual remedy |

Complete every time field together. State the time zone, coverage hours, holiday calendar and whether each clock uses business hours or elapsed hours.

Then define the pauses. If the agency needs access or approval, require a written blocker notice explaining what stops and what work can continue.

Searchmaxxed's weekly release planning and monthly decision memo establish a delivery cadence, giving your team a regular point to review progress and unresolved decisions. They do not, by themselves, specify emergency coverage or incident-response deadlines.

Agree those separately. Your security and engineering teams should confirm the incident arrangements before procurement treats them as settled.

## Which SEO KPIs should sit beside rankings?

An enterprise SEO agreement should track qualified enquiries, sales opportunities or completed service actions alongside search visibility. Define the event before the target.

A demo request helps less if sales rejects it. A manufacturing enquiry matters more when it specifies a product your business can supply.

| Organisation | Useful outcome | Definition to settle |
| --- | --- | --- |
| B2B SaaS | Sales-accepted demo enquiries | Qualification rules, duplicate handling and CRM stage |
| Manufacturing | Relevant requests for quotation | Product fit, serviceable market and enquiry quality |
| Enterprise services | Opportunities influenced by organic search | Attribution rule, lookback period and source evidence |
| Public sector | Completed service actions | Completion event, eligible audience and measurement limits |

Keep supporting measures too. Non-brand clicks, relevant landing-page visits, indexation and AI-answer visibility help explain why enquiries changed, even when sales takes longer to follow.

Write a short measurement schedule containing:

- The baseline period and comparison period.
- The system of record for each KPI.
- Brand and non-brand definitions.
- Markets, devices and page groups included.
- Bot, staff, test and duplicate exclusions.
- Attribution rules and tracking gaps.
- Responsibility for fixing broken measurement.

For AI search, distinguish being mentioned, receiving a linked citation and receiving a visit. Agree which questions and engines the reporting covers, including market and language, so a changed test does not pass for a change in visibility.

Searchmaxxed connects and checks Search Console and GA4, then reviews performance against competitors in a monthly decision memo. Custom & Enterprise can include custom reporting.

If you need CRM-qualified pipeline reporting, put the integration and qualification rules into that scope. A platform connection alone doesn't establish which enquiries became customers.

## What should a security questionnaire ask an SEO agency?

A security questionnaire should establish which systems and data the agency touches, how it protects them and what happens during an incident. Ask for evidence, not adjectives.

The US Federal Trade Commission's [business security guidance](https://www.ftc.gov/business-guidance/resources/protecting-personal-information-guide-business) says: “Put your security expectations in writing in contracts with service providers”.

It also recommends verifying compliance and requiring incident notification.

| Ask about | Evidence or contractual detail to request |
| --- | --- |
| Identity and access | Named accounts, multifactor authentication and access removal process |
| Data handling | Data categories, storage locations, retention and deletion arrangements |
| Subcontractors | Who can access your systems and how changes receive approval |
| Tools | Approved tools, permitted data inputs and restrictions on reuse |
| Incident response | Notification trigger, deadline, contact and investigation responsibilities |
| Recovery | Backup responsibilities, restore tests and rollback arrangements |
| Certifications | Current evidence, covered entity and scope, if your procurement rules require it |
| Confidentiality | Restrictions on sharing customer data, results, logos and case studies |

Minimise the data first. For example, aggregated enquiry outcomes may answer the reporting question without sharing customer records or confidential sales notes with another supplier.

For Searchmaxxed, assess the proposed access and delivery scope against your requirements, including any restrictions that prevent a supplier from handling particular data. Treat certifications, residency conditions and incident commitments as procurement questions to resolve, rather than assumptions.

Public-sector buyers should involve their security team before approving access. Your supplier requirements still apply.

## How should payment, contract length and renewal work?

SEO contract terms should make the commercial commitment clear: the term, billing dates, renewal mechanism and notice deadline. Read these terms together.

Searchmaxxed offers monthly, six-month or 12-month terms, agreed on the call alongside the scope rather than inferred from the name of a package. The term should support the scope and the time your organisation needs to implement it.

Get the details straight. Include currency, tax treatment, purchase-order requirements, approved expenses and the process for resolving a disputed invoice without silently changing the delivery plan.

Document scope changes separately. Additional markets, a migration or new page families should have an approved scope, cost and schedule before work starts.

For renewal, identify who receives notice and when your team must decide. Put the date in procurement's calendar instead of relying on someone remembering it.

## What exit terms protect your website and data?

Exit terms should let your organisation continue operating the website and measurement after the agency leaves. Specify the handover contents, deadlines and responsibilities before signing.

Distinguish ending at renewal from early termination. Ask counsel to review notice, breach and cure provisions, outstanding payment obligations and the dispute process.

Then walk through the handover:

- Current repository, build instructions and deployment configuration.
- Editable content, approved assets and licence details.
- Redirect map, technical backlog and unresolved faults.
- Reporting exports, KPI definitions and tracking documentation.
- Account administrators, integrations and subscription owners.
- Work in progress, approval status and agreed disposition.
- Access removal, credential rotation and data deletion confirmation.

Sequence matters here. Test the replacement access and hosting arrangements before removing the agency's permissions, so the handover doesn't interrupt a working website.

Ownership does not answer every handover question. Your exit schedule still needs to cover assistance, timing and continuing services, even when your organisation already controls the site and its data.

## What should Australian and US buyers ask legal to review?

Australian and US buyers should ask local counsel to review enforceability, intellectual property, privacy, liability and dispute terms. A template cannot settle those questions for your organisation.

Bring the operating facts. Counsel needs the contracting entities, relevant markets, data flows and proposed obligations to review the agreement against the laws that apply.

For Australian engagements, flag applicable Australian Consumer Law questions and any cross-border data handling. For US engagements, identify the relevant state law and privacy requirements.

Keep governing law and dispute location distinct. Ask counsel to reconcile your procurement terms with the agency agreement, including liability caps, indemnities and any conflicting schedules.

This checklist applies to Searchmaxxed too. The agreement needs to reflect that.

## Is Searchmaxxed right for your enterprise SEO contract?

Searchmaxxed suits teams that want SEO and AI SEO implementation on a website they own, with technical work and content inside the same engagement. Our [enterprise SEO service](https://www.searchmaxxed.com/services/enterprise-seo) is relevant when technical work, content and measurement need to move together.

Match the plan to the work:

| Plan | Scope relevant to procurement |
| --- | --- |
| Growth System | Defined page-release capacity, technical work, content and measurement |
| Agentic Search Engineering | Comparison, industry and integration page families, plus wider digital PR and link campaigns |
| Custom & Enterprise | Scope can include multiple markets, dedicated engineering, custom reporting and original first-party research |

You work directly with the people doing the work, without an account-manager relay. That's useful when your product or engineering team needs to resolve a specific implementation question.

Confirm any required certifications, hosting arrangements and emergency coverage before choosing the engagement.

| Searchmaxxed is a good fit if | Look elsewhere if |
| --- | --- |
| You want SEO and AI SEO implementation | You want strategy advice with no changes to your site |
| You want to own your site, repository, content and data | You want an engagement without a defined implementation scope |
| You want direct access to the people doing the work | You require a separate account manager |

## Frequently asked questions

### Can we use a free SEO contract template?

Use a template as a starting checklist, then have counsel adapt it to your scope and jurisdiction. Enterprise requirements need specific treatment.

### What is the difference between an SEO proposal and a contract?

A proposal describes the proposed work. Confirm which proposal commitments form part of the signed agreement, and which document controls if their wording conflicts.

### Does an SEO agency need full administrator access?

Match permissions to the agreed tasks. Separate reporting access from publishing and infrastructure access, with named users and an approval process for changes.

### Should rankings appear in an SEO contract?

Rankings can sit alongside commercial KPIs. Define the search terms, market, device and reporting method, then connect visibility to qualified enquiries or other relevant outcomes.

### What happens if our team delays content approval?

Follow the agreed dependency rules. The contract should explain escalation, revised deadlines and what happens to delivery capacity while the agency waits for your decision.

### Can we cancel an SEO contract early?

Early termination depends on the signed terms and applicable law. Have counsel review the notice process, grounds, payment obligations and handover requirements before you act.

### Do we keep our website if we leave Searchmaxxed?

Searchmaxxed's managed plans include client ownership of the site, repository, content and data from day one. Agree the handover schedule and any continuing hosting or licensed services separately.
